End User License Agreement

Version 1.0 Effective Date January 1, 2026

This End User License Agreement (“Agreement”) is a legally binding agreement between the individual or entity using Paver™ (“Customer,” “User,” or “Licensee”) and Paver™ (“Paver,” “Licensor,” “we,” “our,” or “us”). By downloading, installing, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

1Definitions

For purposes of this Agreement:

Software means all versions of Paver™, including web applications, mobile applications, desktop applications, APIs, AI systems, cloud services, databases, firmware (if applicable), updates, enhancements, documentation, and related services.

License means the limited right granted under this Agreement to use the Software.

Authorized User means an individual authorized by Customer to access the Software under Customer’s subscription.

Customer Data means information uploaded, entered, generated, or stored by Customer using the Software.

2License Grant

Subject to payment of applicable subscription fees and compliance with this Agreement, Paver grants Customer a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Software solely for Customer’s internal business purposes during the applicable subscription term.

No ownership rights are transferred.

3License Restrictions

Except as expressly permitted by applicable law or this Agreement, Customer shall not:

  • Copy the Software except as necessary for authorized use.
  • Modify or create derivative works of the Software.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code.
  • Sell, lease, rent, sublicense, distribute, or commercially exploit the Software.
  • Share login credentials.
  • Circumvent security controls or license enforcement mechanisms.
  • Remove copyright, trademark, or proprietary notices.
  • Use the Software to build or train a competing product or service.
  • Use automated scraping tools except through documented APIs.
  • Use the Software in violation of applicable law.

4Ownership

Paver retains exclusive ownership of all right, title, and interest in:

  • Source code
  • Object code
  • User interfaces
  • Databases
  • APIs
  • AI models
  • Machine learning models
  • Algorithms
  • Documentation
  • Graphics
  • Logos
  • Trademarks
  • Trade secrets
  • Patents
  • Copyrights
  • Workflows
  • Software architecture
  • Product enhancements
  • Future versions
  • Custom modules developed by Paver unless otherwise agreed in writing

Customer acquires no ownership interest in the Software.

5Account Responsibility

Customer is responsible for:

  • All activity occurring under its accounts.
  • Maintaining password confidentiality.
  • Promptly notifying Paver of unauthorized access.
  • Keeping user information current.
  • Managing employee access.
  • Removing access for former employees and contractors.

6Authorized Users

Customer may permit Authorized Users to access the Software within the limits of the purchased subscription.

Customer is responsible for ensuring Authorized Users comply with this Agreement.

Customer remains liable for all acts and omissions of its Authorized Users.

7Software Updates

Paver may release:

  • Bug fixes
  • Security patches
  • Feature enhancements
  • New AI models
  • Performance improvements
  • Interface changes
  • Regulatory updates
  • Mobile app updates

Some updates may install automatically where supported.

Paver may retire obsolete functionality after reasonable notice when practical.

8Artificial Intelligence Features

The Software may include AI-powered features that assist with:

  • Estimating
  • Scheduling
  • Pavement inspections
  • Material calculations
  • Crew planning
  • Bid preparation
  • Project documentation
  • Report generation
  • Customer communications
  • Operational analytics

AI-generated content:

  • May contain errors.
  • Is probabilistic rather than deterministic.
  • Does not replace professional judgment.
  • Must be independently verified before use.

Customer assumes full responsibility for decisions made using AI-generated outputs.

9Customer Data

Customer retains ownership of Customer Data.

Customer grants Paver a limited license to host, process, store, transmit, back up, display, and analyze Customer Data solely as necessary to provide, secure, maintain, improve, and support the Software and as otherwise described in the applicable agreements and Privacy Policy.

Paver will not claim ownership of Customer Data.

10Open Source Software

Certain components of the Software may include open-source software licensed under applicable open-source licenses.

Nothing in this Agreement limits Customer’s rights under those applicable open-source licenses.

A current list of applicable open-source components may be provided upon request or through product documentation, where applicable.

11Third-Party Software

The Software may integrate with third-party products and services.

Paver is not responsible for:

  • Third-party software;
  • Third-party availability;
  • Third-party data accuracy;
  • Third-party outages;
  • Third-party licensing terms; or
  • Third-party privacy practices.

Customer’s use of third-party software is governed by the applicable third-party agreements.

12Intellectual Property Protection

Customer shall not:

  • Copy proprietary workflows.
  • Replicate AI decision models.
  • Extract proprietary databases.
  • Use screenshots, interfaces, documentation, or source code to develop competing software.
  • Register confusingly similar domain names or trademarks.

13Confidentiality

Customer acknowledges that the Software contains valuable confidential and proprietary information.

Customer agrees not to disclose or use any Confidential Information except as necessary to use the Software in accordance with this Agreement.

Confidential Information includes, but is not limited to:

  • Source code
  • Software architecture
  • AI models
  • Machine learning systems
  • Algorithms
  • Pricing information
  • Security procedures
  • APIs
  • Database structures
  • Product roadmaps
  • Internal documentation
  • Development methodologies
  • Performance benchmarks not publicly released
  • Product designs
  • Trade secrets
  • Business methods

This obligation survives termination of the Agreement.

14Security Requirements

Customer agrees to implement reasonable security measures, including:

  • Strong password policies
  • Multi-factor authentication where available
  • Timely removal of former employee access
  • Protection of API credentials
  • Device encryption where appropriate
  • Current antivirus and endpoint protection
  • Operating system updates
  • Browser security updates
  • Secure Wi-Fi and network practices

Customer shall promptly notify Paver of any known or suspected:

  • Unauthorized access
  • Credential compromise
  • Security incident
  • Malware infection affecting the Software
  • Data breach involving Customer’s account

15API License

If Customer purchases or is granted API access: Paver grants a limited, revocable, non-exclusive license to use the documented APIs solely for integrating Customer’s internal business systems with the Services.

Customer shall not:

  • Exceed published rate limits;
  • Circumvent authentication requirements;
  • Reverse engineer API functionality;
  • Republish or resell API access;
  • Use APIs to create competing products;
  • Access unauthorized customer information; or
  • Introduce excessive traffic that impairs platform performance.

Paver may modify or deprecate APIs upon reasonable notice, except where immediate action is necessary for security or legal compliance.

16Mobile Applications

Paver may offer mobile applications for supported operating systems.

Customer acknowledges:

  • App store operators are not parties to this Agreement.
  • Use of mobile applications remains subject to this EULA and any applicable app store terms.
  • Certain features may require internet connectivity, location services, camera access, microphone access, notifications, or device permissions.

Customer is responsible for complying with applicable device and app store requirements.

17Offline Functionality

Certain features may operate while offline.

Customer understands:

  • Offline information may not synchronize immediately.
  • Conflicts may occur during synchronization.
  • Paver is not responsible for decisions made using outdated offline information.
  • Synchronization may require an active internet connection.

18GPS, Telematics, and Location Services

If enabled by Customer, the Software may collect and process location information relating to:

  • Employees
  • Company-owned vehicles
  • Equipment
